The monograph is devoted to an in-depth study of the implementation and protection of corporate rights. The paper formulates the author's conceptual approach to the fundamentals of exercising corporate rights and ways to protect them. Based on the general provisions of the acts of civil legislation of Ukraine, the principle of "proportionality" of the exercise of corporate rights is singled out, which consists in its correlation with the size of the share (number of shares) in the authorized capital of a business entity. The principle of "proportionality" determines the procedure for exercising corporate rights established by law, local legal act or agreement, depending on the size of the share (number of shares) in the authorized capital, which belongs to each (specific) member of the company or an individual participant with a sufficient share (number of shares) ) established by law (5, 10, 95 percent, etc.).
