In the monograph on the basis of a comprehensive study of the institute of transactions made by legal entities in a special order, its functional purpose is revealed and general approaches to the legal regulation of such transactions are defined.

The complex of scientifically substantiated proposals aimed at unification of the conceptual apparatus and legal regulation of transactions made in a special order by legal entities of various organizational and legal forms is given. It is proposed to differentiate the approach to the definition of the concept of “major transaction” for business companies and for other legal entities with special legal capacity. The criteria for the concept of “interested party transaction” suitable for most legal entities and the approach to the identification of relevant transactions (in terms of unity of requirements to the fulfillment by a person of the obligation to disclose its interest in the transaction) are recommended.
